These Terms of Service ("Terms") govern your access to and use of the KanCAT platform and related services (the "Service") operated by KanCAT ("we", "us", "KanCAT"). By registering for or using the Service, you agree to be bound by these Terms.

1. Definitions

The following terms have specific meanings throughout this document:

  • Service — the KanCAT web application, APIs, and associated tools available at kancat.uz and any subdomains.
  • Customer — the legal entity or individual that creates an Organisation account and accepts these Terms.
  • User — any individual who accesses the Service under a Customer's Organisation account, including Organisation Owners, Project Managers, and Linguists.
  • Organisation — a Customer's workspace within KanCAT, containing projects, users, and translation assets.
  • Content — all files, text, translation data, and other materials uploaded to or created within the Service by a Customer or User.
  • Translation Memory (TM) — a database of previously translated segments stored within an Organisation's workspace.
  • Glossary — a collection of approved terminology and preferred translations associated with an Organisation.
  • Paddle — Paddle.com Market Limited, the third-party Merchant of Record that processes all subscription payments on behalf of KanCAT.

2. Acceptance of Terms

By clicking "Create account", completing the registration flow, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms form a legally binding agreement between you and KanCAT.

You must be at least 18 years of age to use the Service. By accepting these Terms, you represent that you meet this age requirement. If you are accepting on behalf of a legal entity, you represent that you have the authority to bind that entity to these Terms.

Continued use of the Service after any change to these Terms constitutes acceptance of the revised Terms, subject to the notice provisions in Section 20.

3. Account Registration and Security

You must provide accurate, complete, and current information when registering for an account. You are responsible for keeping your account details up to date. Creating accounts using false identities or automated means is prohibited.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@kancat.uz if you suspect unauthorised access to your account.

Organisation accounts support multiple Users with distinct roles (Owner, Project Manager, Linguist). The Organisation Owner is responsible for managing role assignments and for ensuring all Users under their Organisation comply with these Terms.

4. Description of Services

KanCAT is a software-as-a-service computer-assisted translation (CAT) tool. The Service includes a Kanban-based project management board, translation editor, translation memory, glossary management, invoicing tools, and file processing capabilities (including support for XLIFF, TMX, TBX, and CSV formats).

KanCAT is a productivity tool, not a translation provider. We do not perform translations, employ translators on your behalf, or guarantee the quality or accuracy of any translated content produced using the Service. All translation work is performed by your Users, and you retain full responsibility for the output.

We reserve the right to modify, suspend, or discontinue features of the Service at any time, subject to reasonable notice where practical. We will not make changes that materially degrade the core functionality of a paid tier without providing at least 30 days advance notice.

5. Subscription Plans, Fees, and Billing

The Service is available on several subscription tiers: Free, Starter, Pro, and Enterprise. Each tier has defined feature limits and user quotas. Details of current plans and pricing are published at kancat.uz/pricing.

Billing is handled by Paddle(Paddle.com Market Limited), who acts as the Merchant of Record for all purchases. When you subscribe to a paid plan, you are entering into a purchase agreement with Paddle, subject to Paddle's terms. KanCAT receives proceeds from Paddle after Paddle collects applicable taxes and fees. Your invoice will be issued by Paddle.

Paid subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled before the renewal date. All fees are non-refundable except where required by applicable law. We offer a trial period on paid tiers so you can evaluate the Service before being charged — the trial period is intended to serve as the try-before-you-buy window.

If a payment fails, your account will enter a grace period of up to 7 days during which we will retry the charge. If payment is not collected within the grace period, your account will be downgraded to the Free tier. Your data will be retained in accordance with Section 19. We will give at least 30 days advance notice of any price changes for existing subscriptions.

6. Rights of Use

Subject to your compliance with these Terms and timely payment of applicable fees, KanCAT grants you a non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes during your subscription term.

This licence does not permit you to sublicense, resell, or provide access to the Service to third parties (other than Users within your Organisation), or to use the Service to build a competing product or service.

7. Intellectual Property

KanCAT retains all intellectual property rights in the platform, including the software, source code, interface design, documentation, trademarks, and all underlying technology. Nothing in these Terms transfers any ownership of KanCAT's intellectual property to you.

You retain full ownership of all Content you upload or create within the Service. The KanCAT name, logo, and product name are trademarks of KanCAT. You may not use them without our prior written consent.

8. Customer Content and Data Ownership

You and your Organisation retain full ownership of all Content — including source files, translated texts, translation memories, glossaries, and project data — that you upload or generate within the Service. KanCAT acquires no ownership rights in your Content.

You grant KanCAT a limited, non-exclusive licence to host, store, process, and display your Content solely to the extent necessary to operate and provide the Service to you. This licence terminates when you delete Content or close your account, subject to the data retention periods in Section 19.

We do not use your Content to train machine learning models, and we do not share your Content with other Customers. Each Organisation's data is isolated from other Organisations at the application and database level.

We will not access or process your Content except to operate the Service, comply with a legal obligation, enforce these Terms, or with your explicit permission.

9. Translation Assets

Your translation memories, glossaries, source files, target files, and all segments created or imported within your Organisation workspace are your property. KanCAT makes no claim to ownership of any translation work product produced using the Service.

You have the right to export your translation assets at any time in standard interoperable formats: TMX (translation memory), TBX (glossary/termbase), XLIFF (bilingual files), and CSV. Export functionality is available from your account settings throughout your subscription and during the post-termination export window described in Section 19.

10. Confidentiality

Each party ("Disclosing Party") may share information with the other party ("Receiving Party") that is confidential or proprietary. The Receiving Party agrees to use such information only for the purposes of these Terms and to protect it with at least the same degree of care used to protect its own confidential information (but no less than reasonable care).

Your Content is treated as confidential by KanCAT. Our confidential information includes non-public product roadmaps, pricing structures, and technical architecture. These obligations survive termination of these Terms for a period of 3 years, except for information that becomes publicly known through no fault of the Receiving Party.

11. Privacy and Data Protection

Our collection and use of personal data in connection with the Service is described in our Privacy Policy at kancat.uz/privacy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

Where KanCAT processes personal data on your behalf (for example, personal data contained within files you upload), KanCAT acts as a data processor and you act as the data controller. We will process such data only in accordance with your instructions and applicable data protection law, including the GDPR where it applies.

12. Security and Data Integrity

KanCAT implements reasonable technical and organisational security measures, including encryption in transit (TLS) and at rest, access controls, and multi-tenant data isolation. We conduct regular backups of platform infrastructure; however, you are responsible for maintaining your own exports of critical translation assets as a business continuity measure.

Each Organisation's data is logically isolated from other Organisations within the platform. We do not permit cross-Organisation data access unless explicitly authorised by both parties. If you discover a security vulnerability, please report it responsibly to hello@kancat.uz.

13. Service Availability

We will use commercially reasonable efforts to maintain the availability and performance of the Service. We do not provide a formal Service Level Agreement (SLA) with guaranteed uptime percentages.

We may perform scheduled maintenance that causes temporary unavailability. We will provide advance notice of planned maintenance windows via the status page and, for significant maintenance windows, via email to account holders. Emergency maintenance may occur without advance notice when required to protect the security or integrity of the Service.

14. Acceptable Use

You agree not to use the Service to:

  • Upload, transmit, or process content that is unlawful, defamatory, obscene, or that infringes the intellectual property rights of any third party;
  • Introduce malware, viruses, or any other harmful code into the Service or its infrastructure;
  • Make automated requests that exceed normal usage patterns or abuse API rate limits without our prior written consent;
  • Attempt to circumvent subscription tier restrictions, billing controls, or authentication mechanisms;
  • Reverse engineer, decompile, or disassemble any part of the platform;
  • Scrape or systematically extract data from the Service via automated means without our written consent;
  • Resell, sublicense, or transfer access to the Service to third parties outside your Organisation;
  • Use the Service in connection with any fraudulent, deceptive, or unlawful activity.

We reserve the right to investigate and take appropriate action — including suspension or termination of your account — in response to any suspected violation of this section.

15. Platform Role and Relationship Disclaimer

KanCAT is a software tool — a translation management platform and computer-assisted translation (CAT) environment. KanCAT is not an employer, staffing agency, freelance marketplace, or payment intermediary of any kind.

  • Any working relationship formed through use of the Service — including project assignments, deadlines, rates, and payment terms — exists solely between the Organisation and the User (linguist). KanCAT is not a party to that relationship.
  • The invoicing and rate-management features within the platform are record-keeping and workflow aids only. They do not constitute a payment guarantee, escrow arrangement, or financial obligation on the part of KanCAT.
  • KanCAT does not recruit, employ, contract, or otherwise engage linguists on behalf of any Organisation. Organisations are solely responsible for sourcing, vetting, and compensating the linguists they invite to their workspace.
  • KanCAT makes no representations regarding the suitability, reliability, or financial standing of any Organisation or linguist using the platform.

16. User-Type Obligations

16.1 Obligations of Organisations

Organisations that invite linguists to their workspace agree to:

  • Conduct fair and lawful business practices with all linguists operating under their Organisation account;
  • Honour any agreed payment terms, rates, and deadlines communicated to linguists through or outside the platform;
  • Comply with all applicable labour, employment, and contractor laws in the jurisdictions where they operate;
  • Maintain accurate project and payment records within the Service.

KanCAT reserves the right to investigate complaints received from linguists about Organisations. Verified misconduct may result in: a formal warning; temporary suspension of the Organisation's account (during which all data is preserved but inaccessible); or permanent termination of the account in accordance with Section 19.

16.2 Obligations of Linguists

Linguists who join an Organisation workspace through an invitation acknowledge that:

  • Their working arrangement — including compensation, deadlines, and project scope — is entirely between themselves and the inviting Organisation. KanCAT is not a party to this arrangement;
  • KanCAT does not guarantee payment for any work completed using the platform. Linguists are solely responsible for agreeing and enforcing their own payment terms with Organisations;
  • Linguists are responsible for performing their own due diligence on any Organisation before accepting an invitation or commencing work;
  • To raise a formal complaint about an Organisation, linguists may email hello@kancat.uz with the subject line "Complaint: [Organisation Name]". KanCAT will review complaints in good faith; however, filing a complaint does not guarantee a specific outcome or any financial remedy from KanCAT.

17. Warranty Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. To the maximum extent permitted by applicable law, KanCAT disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty regarding the accuracy, completeness, or quality of any translation output produced using the Service. The Service is a tool to assist human translators; all translation decisions remain with the User.

18. Limitation of Liability

To the maximum extent permitted by applicable law, KanCAT's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service — whether in contract, tort (including negligence), or otherwise — is limited to 100% of the total fees you paid to KanCAT in the 12 months immediately preceding the event giving rise to the claim.

KanCAT is not liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, loss of business, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot lawfully be excluded or limited.

19. Termination and Data Portability

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access to the Service until that date. Cancellation does not entitle you to a refund for any unused portion of a paid billing period, except where required by applicable law.

We may suspend or terminate your account if you materially breach these Terms, fail to pay subscription fees within the grace period, or if we are required to do so by law. We will give reasonable prior notice where possible, except in cases of serious breach or legal obligation.

Following cancellation or termination, you have a 30-day export window to download your Content (translation memories, glossaries, XLIFF files, invoices). After this window, your data enters a 90-day soft-delete period during which recovery may be possible upon request. After the soft-delete period expires, your data is permanently and irreversibly purged from our systems. We will not retain anonymised versions of your Content without your explicit consent.

20. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Service, applicable law, or our business practices. We will give at least 30 days advance notice of material changes via email (for registered account holders) and a notice on this page.

If you do not agree with a material change, you have the right to terminate your account before the new Terms take effect and receive a pro-rated refund for any prepaid period remaining, at our discretion. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.

21. Governing Law and Contact

These Terms are governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Uzbekistan. Legal proceedings shall be conducted in the English language.

Note: KanCAT may introduce AI-assisted translation features in the future. When such features are enabled, supplemental terms will apply and will be provided as an addendum to these Terms at that time.
